Terms of Use
The short version. Tokemetrics records what you own so you can see where you stand. It isn't financial advice. The figures depend on what you enter and on price data we don't control. Your records live in your own browser, and in your account if you create one, so keep an export either way.
1.Who you are dealing with
Tokemetrics is operated by Davinchi Limited, a company registered in New Zealand (NZBN 9429049300529), trading as Tokemetrics. In these terms, "we", "us" and "our" mean Davinchi Limited, and "you" means the person using the service.
"Service" means the Tokemetrics website, the portfolio tracking application, and anything we provide through them. Contact: hello@tokemetrics.com.
2.Accepting these terms
By using the Service you agree to these terms and to our privacy policy. If you don't agree, don't use it.
You must be at least 16 years old, and you must give an email address you control when creating an account. If you use the Service for a company or trust, you confirm you are authorised to accept these terms on its behalf.
3.What the Service is
Tokemetrics is a record-keeping and reporting tool for cryptocurrency holdings. You record what you have bought and sold, and it calculates and displays things like cost basis, average entry price, allocation, and unrealised and realised profit or loss.
It also lets you keep watchlists of coins you don't own, read published headlines, and — if you choose to turn them on — receive price alerts and a daily summary as notifications.
It is not an exchange, a broker, a wallet or a custodian. We never hold, control or have access to your cryptocurrency or your money.
4.This is not financial advice
Nothing in the Service is financial advice, and we are not a financial advice provider. The Service does not recommend investments, forecast prices, or take account of your objectives, financial situation or needs.
Nothing it displays should be treated as a financial advice service under the Financial Markets Conduct Act 2013 (NZ), or as financial product advice under the Corporations Act 2001 (Cth) in Australia. Decisions to buy, sell or hold anything are yours alone, and are worth discussing with a licensed adviser.
Cryptocurrency values are volatile and you can lose money. Figures shown are not a promise of any outcome.
5.Accuracy, and what it depends on
Everything the Service calculates is derived from the transactions you enter or import. If those are wrong, incomplete or in the wrong currency, the results will be wrong too. You are responsible for what you record.
Market prices come from Binance, and coin information and artwork from CoinGecko. We do not control their accuracy, timing or availability, and prices may be delayed, missing or incorrect.
A price taken from one exchange is that exchange's price. It will not always match what you see on the exchange you trade through, particularly for smaller coins or in fast markets, and the figures shown are not quotes — you cannot buy or sell at them here. Where a coin is not traded on Binance, or where prices are unavailable, the Service falls back to other sources or shows nothing rather than guessing.
Do not rely on the Service for tax. It is not a tax tool, does not apply any particular tax treatment, and does not produce filings. Talk to an accountant.
6.Your data and your content
Without an account, everything you enter is stored by your own web browser on your own device. We do not receive it, cannot see it, and cannot recover it for you. Clearing your browser data deletes it permanently.
With an account, your transactions are also stored on our systems so they follow you between devices, along with your settings, your watchlists, and any price alerts and notification settings you have chosen to create. You keep ownership of everything you enter. We do not sell it, share it, or use it for anything other than providing the Service to you.
You can delete your data, or your account and everything in it, at any time from within the app. Deletion is permanent and we cannot reverse it. Export a copy first if you want one — the Service provides an export function, and it is worth using regardless. What deletion removes, and what stays on your device afterwards, is set out in the privacy policy.
You are responsible for keeping your password safe. We cannot recover an account without access to its email address.
7.Exchange connections
Where the Service connects to an exchange, the connection will be read-only. We will never request permission to trade, transfer or withdraw funds, and you should never grant such permission to us or to anyone claiming to act for us.
You are responsible for the keys you provide and for the security of your exchange accounts. Revoke any key you no longer use.
8.Acceptable use
You agree not to:
- attempt to gain unauthorised access to the Service or to anyone else's data;
- interfere with, overload or disrupt the Service, or circumvent any limit or security measure;
- copy, resell or redistribute the Service or the data within it, other than your own records;
- extract data by automated means at a scale that affects other users;
- use the Service to break any law, or in breach of a third-party data provider's terms.
We may suspend or withdraw access where any of this occurs.
9.Availability and changes
The Service is under active development. Features may change, be added or be removed, and there may be periods where it is unavailable or does not work correctly. We do not guarantee uptime, and we do not promise the Service will remain free.
Notifications are best effort. Price alerts and the daily summary are sent through the push service your browser provides, which we do not control. A notification may be late or may not arrive at all — because the price data was unavailable, because the device was offline, or because the push service dropped it. An alert fires once and is not repeated. Do not use one as the only thing standing between you and a decision.
We will give reasonable notice of changes that materially affect paying users.
10.Intellectual property
The Service, including its design, name, logo and software, belongs to Davinchi Limited. These terms give you permission to use it, not ownership of it. Coin names and logos belong to their respective projects and are shown to identify assets.
11.Liability
The Service is provided as it is, without warranties of any kind, to the extent the law allows.
We are not liable for loss arising from your use of the Service, including trading losses, losses from decisions made using figures it displays, lost or corrupted data, or loss caused by third-party data being inaccurate or unavailable. Where liability cannot be excluded, it is limited to the greater of the amount you have paid us in the previous twelve months, or NZ$100.
12.Consumer rights
Nothing in these terms limits rights you have under the Consumer Guarantees Act 1993 or the Fair Trading Act 1986 in New Zealand, or under the Australian Consumer Law, that cannot be excluded.
Where you use the Service for business purposes, the Consumer Guarantees Act does not apply, and you agree to that exclusion.
13.The waitlist
Joining the waitlist puts you on a list to be told when Tokemetrics launches. It reserves nothing, guarantees no access, and commits you to nothing. We will email you once at launch. You can leave the list at any time using the unsubscribe link or by emailing us.
14.Ending it
You can stop using the Service at any time. Export your records first, because we cannot recover them. We may suspend or end your access where these terms are breached, or where we discontinue the Service.
15.Changes to these terms
We may update these terms as the Service develops. Material changes will be noted on this page with a new version number and date. Continuing to use the Service after a change means you accept the updated terms.
16.Governing law
These terms are governed by New Zealand law, and the New Zealand courts have non-exclusive jurisdiction. If any part is found unenforceable, the rest continues to apply.
